Academy — Terms of Service (Education)

1. Agreement
These Terms of Service ("Terms") form a binding legal agreement between you and Andiamo Tech, Inc. ("Andiamo," "we," "us," or "our"), a Delaware Public Benefit Corporation operating from Skagit Valley, Washington, operator of Academy (the "Service"). By creating or using an account, you agree to these Terms.
Where the Service is provisioned by a school, district, homeschool co-op, or educator ("School"), the School's acceptance of an Education Agreement or Data Processing Addendum governs its use, and these Terms apply as incorporated terms.
2. Who can use the Service
2.1 Adults
Users 18 years or older may create an Account directly.
2.2 Minors (under 18)
Minors may use the Service only through (a) an account established by a Parent or legal guardian, or (b) an account provisioned by a School acting in loco parentis for an educational purpose.
2.3 Children under 13 (COPPA)
We comply with the Children's Online Privacy Protection Act. Before we collect Personal Information from a child under 13, we obtain verifiable parental consent, except where a School lawfully consents as the child's authorized agent for a school-related educational purpose. 3. School provisioning; FERPA
When a School creates accounts for Students, the School:
- Represents and warrants that it has obtained all necessary parental consents under COPPA and applicable state law.
- Designates Andiamo as a School Official with a "legitimate educational interest" under 34 CFR § 99.31(a)(1)(i)(B).
- Acknowledges that Andiamo processes Student Records only on the School's instructions and for educational purposes.
- Will not use the Service in any way that would violate FERPA or applicable state student-privacy law.
4. Student Records
"Student Records" include account data, lesson progress, assignments, quiz responses, achievements, messaging, and related metadata about Students. Student Records are confidential. We use Student Records only to provide the Service and as directed by the Parent or School. We do not advertise to Students, do not sell Student Records, and do not use Student Records to train general-purpose AI models.
Upon a School's written request, we will return or destroy Student Records within thirty (30) days at the School's election.
5. Account security
Parents, Teachers, and Schools are responsible for the security of credentials issued to minors in their care and for account activity. Report suspected compromises to [email protected] immediately.
6. Acceptable use
You agree not to:
- Use the Service in violation of any law or regulation.
- Upload or transmit Content that harms, harasses, bullies, threatens, or sexually exploits a Student or other user.
- Attempt to access another user's account, Student Records, or administrative controls without authorization.
- Scrape, crawl, or bulk-extract the Service other than via documented APIs within published limits.
- Reverse-engineer the Service except where permitted by applicable law.
- Use the Service to generate, store, or distribute sexual content involving minors, hate speech, weapons instructions, or other content prohibited by law or our Acceptable Use Policy.
- Introduce malware, conduct phishing, or interfere with Service operations.
- Use automated systems to interact with the Service in a manner that degrades it for others.
Violations may result in suspension or termination of the Account without refund, and may be reported to the School, to Parents, or to law enforcement where legally required.
7. Your Content
You retain ownership of Content you submit. By submitting Content, you grant Andiamo a worldwide, non-exclusive, royalty-free license to host, reproduce, modify (for technical reasons), and display the Content solely to provide the Service to you and, where applicable, to the Student, Parent, or School.
We may remove Content that violates these Terms or applicable law.
8. AI features
The Service uses AI to generate and adapt lessons and assignments. AI outputs are assistive and may contain errors. Teachers and Parents remain responsible for reviewing content where their policies require. Students should not treat AI output as a substitute for instruction by a qualified educator.
AI features are governed by additional policies (including the Privacy Policy and acceptable-use controls) and may be restricted by a School's administrator.
9. Billing and automatic renewal
- Paid tiers may be available to homeschool families and Schools. The paying party is the sole account holder for billing.
- Consistent with Washington RCW 19.525 (automatic renewal disclosure), we disclose auto-renewal terms, renewal price, renewal frequency, and cancellation method at checkout before payment, and send a post-purchase acknowledgment including the cancellation URL.
- Subscriptions renew automatically at the then-current price until canceled. Cancellation takes effect at the end of the current billing period.
- For annual plans, we send a renewal reminder at least thirty (30) days before the renewal date and disclose any price change with the notice required by RCW 19.525.
- You may cancel in your Account settings without contacting support.
- Fees are exclusive of taxes; you are responsible for applicable taxes.
- Payments are processed by Stripe, Inc.; use is subject to Stripe's terms.
- Refunds are not provided for partial periods except where required by law or expressly offered.
10. Third-party services
The Service integrates with Microsoft Azure (hosting), Stripe (billing), Postmark (email), and Microsoft Entra External ID (authentication). These providers act as processors and handle information only on our instructions. Their respective terms govern your use of them.
11. Intellectual property
All Service software, designs, curriculum, and text not provided by users are owned by Andiamo or its licensors. "Andiamo" and "Academy" are trademarks of Andiamo Tech, Inc.. You receive a limited, non-transferable license to access and use the Service for its intended educational purpose.
12. DMCA
Notices of claimed copyright infringement should be sent to [email protected] and must comply with 17 U.S.C. § 512(c)(3). We will respond to valid notices and counter-notices and will terminate repeat infringers.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT CONTENT IS ERROR-FREE OR PEDAGOGICALLY APPROPRIATE FOR EVERY LEARNER, AND YOU REMAIN RESPONSIBLE FOR SUPERVISION AND REVIEW WHERE APPROPRIATE.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANDIAMO AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST DATA, REVENUE, OR GOODWILL. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, OR (B) USD $100.
Some jurisdictions do not permit certain limitations; in those jurisdictions these limits apply to the fullest extent permitted.
15. Indemnification
You agree to defend, indemnify, and hold harmless Andiamo from any third-party claim, loss, or expense (including reasonable attorneys' fees) arising from (a) your Content, (b) your use or misuse of the Service, (c) your violation of these Terms, or (d) your violation of any law or third-party right.
16. Termination
- You may close your Account at any time.
- We may suspend or terminate an Account for violation of these Terms, applicable law, safety, or risk-management reasons.
- Upon termination of a School's engagement, we will return or destroy Student Records as described in Section 4.
- Sections that by their nature should survive termination will survive.
17. Dispute resolution
For disputes not governed by a signed Education Agreement or Data Processing Addendum, the informal-resolution, arbitration, and class-action waiver provisions of our general Terms apply, except that disputes involving student-privacy laws (FERPA, COPPA, SOPIPA, state equivalents) and disputes brought by a public-entity School will be resolved in the courts of competent jurisdiction as required by applicable law.
18. Governing law
Washington law governs these Terms, without regard to conflict-of-laws principles. Exclusive venue for any court proceeding lies in the state or federal courts located in Skagit County, Washington, subject to Section 17.
19. Changes
We will post updated Terms here with a new "Last updated" date. Material changes will be announced at least thirty (30) days in advance via email or conspicuous in-product notice. For Schools, changes are also governed by the Education Agreement or DPA.
20. Miscellaneous
- Entire agreement. These Terms, the Privacy Policy, and any applicable Education Agreement or DPA constitute the entire agreement between you and Andiamo.
- Severability. If any provision is held unenforceable, the remainder will remain in force.
- Waiver. Failure to enforce a right is not a waiver of it.
- Assignment. You may not assign without our consent; we may assign in connection with a corporate transaction.
- Force majeure. Neither party is liable for failure due to causes beyond reasonable control.
- Notices. Notices to you may be delivered by email or in-product notice.
